Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of ToolNXT, including tools-dhb1z3hnr-admins-projects-0be47921.vercel.app and all tools available on it (together, the “Service”), operated by KonnectNXT (“ToolNXT,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

ToolNXT provides a collection of free utilities for working with PDFs, images, text, code, and other file formats — for example, converting, compressing, merging, or editing files. Most tools process everything locally in your browser; a limited number offer an optional mode that uploads a file to our servers for processing. What that involves is described in full in our Privacy Policy, which is incorporated into these Terms by reference.

2. Eligibility

You must be legally able to form a binding contract to use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Acceptable Use

When using the Service, you agree that you will not:

• Upload, process, or attempt to process any file or content that is illegal, infringes a third party’s intellectual property or other rights, or that you do not have the legal right to possess or process.
• Use the Service to generate, distribute, or process malware, phishing content, or anything intended to harm or gain unauthorized access to a system.
• Attempt to disrupt, overload, or impair the Service (for example, through automated scraping at volume, denial-of-service activity, or bypassing rate limits), or attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent applicable law expressly permits this despite the restriction.
• Use the Service in a way that violates any applicable local, state, national, or international law or regulation.

We reserve the right to restrict or terminate access to the Service for anyone we reasonably believe is violating these Terms.

4. Your Content

You retain all ownership rights to the files, text, images, and other content you process using the Service (“Your Content”). We claim no ownership over Your Content.

For tools that run entirely in your browser, Your Content is never transmitted to us, so no license to us is needed or granted. For tools that use an optional server-assisted mode (see §2.2 of our Privacy Policy), by choosing that mode you grant us a limited, non-exclusive, worldwide license to process the specific file you submit solely for the purpose of performing the operation you requested and returning the result to you. That license ends once the file is discarded, as described in the Privacy Policy — we do not use Your Content for any other purpose, including training any model.

You are solely responsible for Your Content and for having all rights necessary to process it through the Service.

5. Intellectual Property

The Service — including its design, branding, logos, text, graphics, and underlying code (excluding Your Content and any third-party open-source components, which remain governed by their own licenses) — is owned by KonnectNXT and protected by applicable intellectual property laws. Except for the limited right to use the Service as intended, these Terms don’t grant you any right, title, or interest in the Service or its content.

6. No Warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that any tool will produce a result that is accurate, lossless, or fit for any particular purpose — for example, compression tools intentionally trade some quality for smaller file size, and conversion tools may not perfectly preserve every aspect of the original file. You are responsible for reviewing any output before relying on it.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KonnectNXT AND ITS OFFICERS, EMPLOYEES, AND CONTRIBUTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US TO USE THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE (WHICH, FOR A FREE SERVICE, WILL TYPICALLY BE ZERO) OR (B) FIFTY US DOLLARS (US$50). Some jurisdictions don’t allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

8. Indemnification

You agree to defend, indemnify, and hold harmless KonnectNXT and its officers, employees, and contributors from any claim, liability, damages, loss, and expense (including reasonable legal fees) arising out of or in any way connected with Your Content, your violation of these Terms, or your violation of any law or the rights of a third party.

9. Third-Party Services and Links

The Service may link to, or in the case of server-assisted tools rely on, third-party infrastructure or services to operate. We don’t control and aren’t responsible for third-party sites, services, or their content.

10. Changes to the Service

We may add, change, suspend, or discontinue any tool or feature of the Service at any time, with or without notice. We don’t guarantee that the Service, or any specific tool, will always be available.

11. Termination

We may suspend or terminate your access to the Service at any time, for any reason, including for violating these Terms. Because the Service doesn’t require an account for most use, “termination” for most users in practice means restricting access from your network or browser rather than closing an account.

12. Governing Law

These Terms are governed by the laws of [jurisdiction to be confirmed by KonnectNXT], without regard to its conflict-of-laws principles, except to the extent applicable consumer-protection law in your own country of residence provides otherwise.

13. Dispute Resolution

If a dispute arises, please contact us first at contact@konnectnxt.com so we can try to resolve it informally. Nothing in this section limits either party’s right to seek relief in a court of competent jurisdiction where informal resolution isn’t possible or appropriate.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and KonnectNXT regarding the Service, and supersede any prior agreements on the subject.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we’ll update the “Effective date” at the top of this page. Continued use of the Service after a change becomes effective means you accept the revised Terms.
